1. Acceptance of Terms
By downloading, installing, or using the TeamTalk mobile application or website (together, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.
These Terms form a legally binding agreement between you and TeamTalk Software Ltd ("TeamTalk", "we", "us", or "our"), a company incorporated in England and Wales.
2. The Service
TeamTalk is a sports team management platform that enables clubs and teams to communicate via channels and messaging, schedule and manage events (matches, training sessions, and more), publish squad selections and formations, record live match data, track player statistics and performance ratings, and manage club memberships and roles.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.
3. Eligibility
You must be at least 13 years old to use the Service. If you are between 13 and 17 years old, you confirm that you have obtained the consent of a parent or legal guardian to use the Service, and that your parent or guardian has agreed to these Terms on your behalf.
By using the Service, you represent and warrant that you meet these age requirements and that any information you provide is accurate and complete.
4. Accounts
You must create an account to access the core features of the Service. You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account;
- notifying us immediately at hello@teamtalk.com if you suspect unauthorised access to your account.
You may not create an account on behalf of another person without their authorisation, except where a club administrator creates a placeholder player profile for an unregistered club member using that feature.
We reserve the right to suspend or terminate accounts that violate these Terms.
5. Acceptable Use
You agree to use the Service only for its intended purposes and in compliance with all applicable laws. You must not:
- post or transmit content that is unlawful, abusive, harassing, threatening, defamatory, obscene, or discriminatory;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- use the Service to send unsolicited commercial messages (spam);
- attempt to gain unauthorised access to any part of the Service, other users' accounts, or our infrastructure;
- reverse-engineer, decompile, or disassemble any part of the Service;
- scrape, crawl, or use automated means to access or collect data from the Service without our written permission;
- use the Service in a manner that could damage, disable, overburden, or impair our systems;
- circumvent or interfere with security or access controls, including App Check attestation;
- use the Service for any commercial purpose not expressly permitted by these Terms.
We may investigate and take appropriate action, including removing content and suspending accounts, in response to reported or detected violations.
6. User Content
6.1 Your Content
"User Content" means any text, images, data, or other material you submit to the Service, including messages, club and event details, match data, and profile information. You retain ownership of your User Content.
6.2 Licence to TeamTalk
By submitting User Content, you grant TeamTalk a non-exclusive, worldwide, royalty-free licence to store, reproduce, and process that content solely to the extent necessary to operate and provide the Service. We do not claim ownership of your content and will not use it for any other purpose.
6.3 Your Responsibility
You are solely responsible for the User Content you submit. You represent and warrant that you have all necessary rights to submit the content and that it does not infringe any third-party rights or violate any applicable law.
6.4 Content Removal
We reserve the right to remove any User Content that violates these Terms or that we reasonably consider to be harmful, offensive, or otherwise objectionable, without prior notice.
7. Subscriptions & Payments
7.1 Plans
TeamTalk offers free and paid subscription plans (Plus and Pro). Paid plans unlock additional features and remove advertising. Plan details, pricing, and feature comparisons are available within the app and on our website.
7.2 Trials
We may offer self-serve free trials for paid plans. A trial will not automatically convert to a paid subscription at the end of the trial period unless you opt in before that date.
7.3 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are stated inclusive of applicable taxes unless otherwise indicated. Payments are processed by our third-party payment provider and are subject to their terms and conditions.
7.4 Cancellation & Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We do not provide pro-rata refunds for partial billing periods, except where required by applicable consumer protection law.
7.5 Price Changes
We may change subscription prices with at least 30 days' notice. Continued use of the paid Service after a price change takes effect constitutes acceptance of the new price.
8. Intellectual Property
The Service, including its software, design, graphics, logos, and all content produced by TeamTalk, is owned by TeamTalk Software Ltd and is protected by copyright. Nothing in these Terms grants you any rights in our intellectual property other than the limited licence to use the Service as described herein.
9. Third-Party Services
The Service integrates with third-party services including Google Firebase, Google Maps, Google AdMob, and a payment provider. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of any third-party services.
Links to third-party websites or services are provided for convenience only and do not constitute an endorsement by TeamTalk.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
Statistics, performance ratings, and match data recorded through the Service are user-generated. TeamTalk makes no representations regarding their accuracy or completeness.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, TeamTalk Software Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to TeamTalk in the twelve months preceding the claim, or (b) £100.
If you are a consumer resident in the United Kingdom, you may have statutory rights that cannot be excluded or limited. Nothing in these Terms affects those rights.
12. Termination
You may delete your account at any time through the app's settings. Upon deletion, your profile and personal data will be removed in accordance with our Privacy Policy.
We may suspend or terminate your access to the Service immediately if we reasonably believe you have materially breached these Terms, or if we are required to do so by law. Where permitted, we will notify you of the reason.
Sections 6.2, 8, 10, 11, and 13 survive any termination of these Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers may also bring proceedings in the courts of their country of residence within the United Kingdom.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via the app or by email at least 14 days before the changes take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and may delete your account.
